ACCEPTABLE USE AGREEMENT

This Acceptable Use Agreement (the “AUA”) governs the use of all services, solutions, software, networks, equipment, platforms, websites, applications, and any related deliverables (collectively, the “Services”) provided by inBuilding Services Corporation and its affiliates, subsidiaries, successors, and assigns (collectively, “inBuilding,” “we,” “us,” or “our”). The party accessing, using, or receiving the Services (“Customer” or “you”) is responsible for compliance with this AUA by Customer’s employees, contractors, agents, end users, guests, and any other third parties who access or use the Services through or on behalf of Customer (collectively, “Users”).
BY ACCESSING, ORDERING, INSTALLING, OR USING ANY OF THE SERVICES, OR BY PERMITTING ANY USER TO DO SO, CUSTOMER IS DEEMED TO HAVE READ, UNDERSTOOD, AND ACCEPTED THIS AUA AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS. IF CUSTOMER DOES NOT AGREE TO THIS AUA, CUSTOMER MUST NOT ACCESS OR USE THE SERVICES.
This AUA supplements, and is incorporated by reference into, any master services agreement, statement of work, order form, quote, proposal, terms of service, or other agreement between inBuilding and Customer relating to the Services (each, a “Customer Agreement”). In the event of a conflict between this AUA and a Customer Agreement, the Customer Agreement will control with respect to the specific subject matter of the conflict, unless the Customer Agreement expressly provides otherwise.
1. Scope and Applicability
This AUA applies to all Services and to all use of the Services by Customer and its Users, including without limitation:
In-building wireless systems
Distributed antenna systems (DAS)
Small cell systems
Public safety communication systems
Cellular signal enhancement systems
Wi-Fi networks
IoT networks
Network design and engineering services
Installation, commissioning, monitoring, maintenance, managed services, hosted services, software, application programming interfaces (APIs), and any related professional, technical, or support services that inBuilding may make available from time to time
Customer is solely responsible for the acts and omissions of its Users and for ensuring that all Users comply with this AUA. Any act or omission by a User that, if committed by Customer, would constitute a violation of this AUA, will be deemed a violation by Customer.
2. General Conduct
Customer and its Users must use the Services lawfully, ethically, and in a manner that does not interfere with the rights of inBuilding or any third party. Without limiting the foregoing, Customer and its Users must:
Comply with all applicable federal, state, local, and foreign laws, rules, regulations, ordinances, codes, orders, and treaties, including without limitation those of the Federal Communications Commission (FCC), the Federal Aviation Administration (FAA), the Occupational Safety and Health Administration (OSHA), the National Electrical Code, the National Fire Protection Association codes, applicable building and life-safety codes, and all applicable export-control, sanctions, anti-corruption, anti-money-laundering, privacy, and data-protection laws.
Comply with all reasonable policies, procedures, technical specifications, and instructions provided by inBuilding from time to time relating to the Services.
Obtain and maintain all permits, licenses, consents, approvals, easements, rights-of-way, landlord consents, and authorizations required for the installation, operation, and use of the Services at any Customer site or premises.
Use the Services only for their intended purpose and only as described in the applicable Customer Agreement and documentation.
3. Prohibited Uses
Customer and its Users may not, and may not attempt to, assist, encourage, or permit any third party to:
3.1 Unlawful, Harmful, or Abusive Conduct
Use the Services in any manner that violates any law, regulation, court order, or third-party right, or that constitutes or promotes fraud, deception, false advertising, harassment, stalking, defamation, libel, slander, threats, bullying, intimidation, hate speech, or discrimination.
Use the Services to facilitate, encourage, plan, or carry out any act of violence, terrorism, or other criminal activity, or to threaten any person or property.
Use the Services to transmit, distribute, store, display, post, or make available any material that is unlawful, obscene, pornographic (including child sexual abuse material), indecent, lewd, hateful, libelous, defamatory, invasive of privacy or publicity rights, or otherwise objectionable.
Use the Services to exploit, harm, or attempt to exploit or harm any minor.
3.2 Intellectual Property and Confidentiality
Infringe, misappropriate, or otherwise violate any patent, copyright, trademark, trade secret, moral right, publicity right, privacy right, or other intellectual property or proprietary right of inBuilding or any third party.
Remove, alter, or obscure any copyright, trademark, service mark, or other proprietary notice contained in or on the Services or any related materials.
Disclose or use any confidential or proprietary information of inBuilding or any third party in violation of any applicable confidentiality obligation or law.
3.3 Network, System, and Security Integrity
Interfere with, disrupt, degrade, overburden, or impair the Services, any inBuilding system or network, any third-party network, or any other user’s use of the Services, including without limitation by means of denial-of-service or distributed-denial-of-service attacks, mail bombing, flooding, or other resource-exhaustion techniques.
Introduce or transmit any virus, worm, Trojan horse, ransomware, spyware, malware, time bomb, logic bomb, or other malicious code, file, or program to or through the Services.
Attempt to gain unauthorized access to, probe, scan, test the vulnerability of, or breach the security or authentication measures of the Services, any inBuilding system, network, or account, or any third-party system, network, or account.
Monitor, intercept, capture, or collect data or traffic on any network or system without proper authorization, including by means of packet sniffing, wiretapping, port scanning, or similar techniques.
Bypass, disable, or circumvent any security feature, access control, authentication, rate limit, usage limit, geographic restriction, or technological protection measure of the Services.
Forge, falsify, alter, spoof, or remove any TCP/IP packet header, email header, message identifier, caller ID, originating telephone number, network address, routing information, or other identifying information, or impersonate any person or entity.
4. Customer Data, Privacy, and Security Responsibilities
Customer is solely responsible for the lawfulness, accuracy, quality, and integrity of all data, content, and information that Customer or its Users submit to, transmit through, or store on the Services (collectively, “Customer Data”), and for obtaining all consents, authorizations, and notices required by applicable law in connection with the collection, use, disclosure, and processing of Customer Data.
5. Site, Equipment, and Premises Conditions
Where the Services involve work at a Customer site or premises (each, a “Site”), Customer must, at its sole cost and expense:
Provide and maintain safe, lawful, and timely access to the Site.
Ensure that the Site is free of hazardous materials, asbestos, mold, lead, and other unsafe conditions, or promptly disclose all known or suspected hazards to inBuilding in writing.
Provide adequate electrical power, HVAC, lighting, equipment space, conduit pathways, riser access, grounding, and other utilities and infrastructure required for the Services.
6. Monitoring and Cooperation
inBuilding has no obligation to monitor Customer’s or any User’s use of the Services. However, inBuilding reserves the right (but assumes no obligation) to monitor, review, retain, and disclose any information as necessary to:
Operate, maintain, and improve the Services.
Protect inBuilding, its customers, and the public.
Investigate suspected violations of this AUA, the applicable Customer Agreement, or applicable law.
7. Reporting Violations
Customer must promptly notify inBuilding of any actual or suspected violation of this AUA, of which Customer becomes aware. Reports of suspected violations may be submitted to inBuilding at the contact address designated on inBuilding’s website or in the applicable Customer Agreement.
8. Suspension, Termination, and Remedies
inBuilding may, in its sole discretion and without prior notice or liability to Customer or any third party:
Investigate any suspected violation of this AUA.
Remove, block, disable, filter, quarantine, or refuse to transmit any Customer Data or other content that inBuilding believes, in good faith, violates this AUA or applicable law.
9. Customer Liability and Indemnification
Customer is responsible for, and assumes all liability arising out of or relating to, any violation of this AUA by Customer or any of its Users.
10. Modifications to this AUA
inBuilding may modify this AUA from time to time in its sole discretion.
11. No Third-Party Beneficiaries
This AUA is for the sole benefit of inBuilding and Customer and their respective permitted successors and assigns.
12. Law and Disputes
This AUA will be governed by, and construed in accordance with, the laws of the State of Texas, without regard to its conflict of laws principles.
13. Severability and Survival
If any provision of this AUA is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable.
