ACCEPTABLE USE AGREEMENT

This Acceptable Use Agreement (the “AUA”) governs the use of all services, solutions, software, networks, equipment, platforms, websites, applications, and any related deliverables (collectively, the “Services”) provided by inBuilding Services Corporation and its affiliates, subsidiaries, successors, and assigns (collectively, “inBuilding,” “we,” “us,” or “our”). The party accessing, using, or receiving the Services (“Customer” or “you”) is responsible for compliance with this AUA by Customer’s employees, contractors, agents, end users, guests, and any other third parties who access or use the Services through or on behalf of Customer (collectively, “Users”).
BY ACCESSING, ORDERING, INSTALLING, OR USING ANY OF THE SERVICES, OR BY PERMITTING ANY USER TO DO SO, CUSTOMER IS DEEMED TO HAVE READ, UNDERSTOOD, AND ACCEPTED THIS AUA AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS. IF CUSTOMER DOES NOT AGREE TO THIS AUA, CUSTOMER MUST NOT ACCESS OR USE THE SERVICES.
This AUA supplements, and is incorporated by reference into, any master services agreement, statement of work, order form, quote, proposal, terms of service, or other agreement between inBuilding and Customer relating to the Services (each, a “Customer Agreement”). In the event of a conflict between this AUA and a Customer Agreement, the Customer Agreement will control with respect to the specific subject matter of the conflict, unless the Customer Agreement expressly provides otherwise.
1. Scope and Applicability
This AUA applies to all Services and to all use of the Services by Customer and its Users, including without limitation:
In-building wireless systems
Distributed antenna systems (DAS)
Small cell systems
Public safety communication systems
Cellular signal enhancement systems
Wi-Fi networks
IoT networks
Network design and engineering services
Installation, commissioning, monitoring, maintenance, managed services, hosted services, software, application programming interfaces (APIs), and any related professional, technical, or support services that inBuilding may make available from time to time
Customer is solely responsible for the acts and omissions of its Users and for ensuring that all Users comply with this AUA. Any act or omission by a User that, if committed by Customer, would constitute a violation of this AUA, will be deemed a violation by Customer.
2. General Conduct
Customer and its Users must use the Services lawfully, ethically, and in a manner that does not interfere with the rights of inBuilding or any third party. Without limiting the foregoing, Customer and its Users must:
Comply with all applicable laws and regulations, including but not limited to:
Federal Communications Commission (FCC)
Federal Aviation Administration (FAA)
Occupational Safety and Health Administration (OSHA)
National Electrical Code
National Fire Protection Association codes
Applicable building and life-safety codes
Export-control, sanctions, anti-corruption, anti-money-laundering, privacy, and data-protection laws
Follow all reasonable policies, procedures, and instructions provided by inBuilding relating to the Services.
Obtain and maintain all necessary permits, licenses, and authorizations required for the installation, operation, and use of the Services at any Customer site or premises.
Use the Services only for their intended purpose as described in the applicable Customer Agreement and documentation.
3. Prohibited Uses
Customer and its Users may not, and may not attempt to, assist, encourage, or permit any third party to:
3.1 Unlawful, Harmful, or Abusive Conduct
Use the Services in any manner that violates any law, regulation, court order, or third-party right.
Facilitate, encourage, or carry out any act of violence, terrorism, or other criminal activity.
Transmit, distribute, or store unlawful, obscene, pornographic, or otherwise objectionable material.
Exploit, harm, or attempt to harm any minor.
3.2 Intellectual Property and Confidentiality
Infringe or misappropriate any intellectual property or proprietary rights of inBuilding or any third party.
Remove, alter, or obscure any copyright, trademark, or proprietary notices.
Disclose or use any confidential information in violation of applicable confidentiality obligations or laws.
3.3 Network, System, and Security Integrity
Interfere with, disrupt, or impair the Services, inBuilding systems, or third-party networks.
Introduce or transmit malicious code, such as viruses, worms, or ransomware.
Attempt to gain unauthorized access to any system, network, or account.
Monitor or collect data without proper authorization.
Bypass or disable any security features or access controls.
3.4 Radio Frequency, Wireless, and Public Safety
Operate or use wireless devices in violation of FCC rules or other regulatory authorities.
Modify or interfere with public safety communication systems or life-safety systems.
3.5 Spam, Unsolicited Communications, and Data Harvesting
Send unsolicited bulk messages or spam in violation of applicable laws.
Harvest or collect information about other users without authorization.
3.6 Reverse Engineering and Unauthorized Modification
Reverse engineer, decompile, or disassemble any software or component of the Services.
Use the Services to develop or improve competing products or services.
3.7 Resale and Unauthorized Access
Resell or sublicense the Services without inBuilding’s prior written consent.
Share or disclose account credentials or authentication information.
3.8 High-Risk and Restricted Uses
Use the Services in high-risk applications where failure could result in severe harm, unless expressly authorized by inBuilding.
Export or transfer the Services in violation of U.S. export-control laws or other applicable regulations.
4. Customer Data, Privacy, and Security Responsibilities
Customer is solely responsible for:
The lawfulness, accuracy, and integrity of all data submitted to or stored on the Services (“Customer Data”).
Implementing appropriate safeguards to protect the Services and related systems.
Promptly notifying inBuilding of any unauthorized access or security incidents.
5. Site, Equipment, and Premises Conditions
Where the Services involve work at a Customer site, Customer must:
Provide safe and lawful access to the site.
Ensure the site is free of hazardous materials or disclose known hazards.
Maintain the site and any Customer-provided equipment in good working order.
6. Monitoring and Cooperation
inBuilding reserves the right to monitor and review use of the Services to:
Operate and improve the Services.
Investigate suspected violations of this AUA or applicable laws.
7. Reporting Violations
Customer must promptly notify inBuilding of any actual or suspected violations of this AUA.
8. Suspension, Termination, and Remedies
inBuilding may suspend or terminate access to the Services for violations of this AUA, with or without prior notice, depending on the severity of the violation.
9. Customer Liability and Indemnification
Customer is responsible for any violations of this AUA by its Users and must indemnify inBuilding against any resulting claims or damages.
10. Modifications to this AUA
inBuilding may modify this AUA at its discretion. Continued use of the Services constitutes acceptance of the updated terms.
11. No Third-Party Beneficiaries
This AUA is for the sole benefit of inBuilding and Customer.
12. Law and Disputes
This AUA is governed by the laws of the State of Texas. Disputes will be resolved in the courts specified in the applicable Customer Agreement.
13. Severability and Survival
If any provision of this AUA is deemed invalid, the remaining provisions will remain in effect.

BY USING THE SERVICES, CUSTOMER ACKNOWLEDGES THAT IT HAS READ, UNDERSTOOD, AND AGREES TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS ACCEPTABLE USE AGREEMENT.
